Terms of Service

By creating an account, signing in, or using OC (OpenChat) operated by Odixtec ("we", "us"), you agree to these Terms of Service and our Privacy Policy. If you use OC on behalf of a business, you represent that you have authority to bind that business to these terms.

OC provides messaging, calling, authentication, customer-support inboxes, embeddable widgets, APIs, and related collaboration tools. We may add, change, or discontinue features with reasonable notice when practical.

• You must provide accurate registration information.
• You are responsible for safeguarding your credentials and devices.
• You must promptly notify us of unauthorized access to your account.
• Phone OTP, email/password, and Google Sign-In are offered as authentication methods where enabled.

You agree not to:

• Violate laws or third-party rights
• Send spam, phishing, malware, or abusive content
• Harass, threaten, or exploit others
• Probe, disrupt, or overload our systems
• Scrape or reverse-engineer the service except as allowed by law
• Misrepresent your identity or affiliation
• Use OC to process unlawful or highly regulated data without proper authority

We may suspend or terminate accounts that violate these terms.

Workspace owners are responsible for their agents, customer data they collect through OC, branding, widget configuration, API keys, and compliance with laws applicable to their business (including customer support and marketing rules). Owners must ensure their customers are informed about how the business uses conversation data.

You retain ownership of content you submit. You grant Odixtec a worldwide, non-exclusive license to host, process, transmit, and display that content solely to operate and improve OC. You are responsible for having the rights to the content you upload.

OC may integrate SMS gateways, Google/Firebase authentication, LiveKit calling, hosting providers, and OAuth client apps. Those services are governed by their own terms. We are not responsible for third-party outages or practices outside our control.

If you use OC APIs, OAuth, or widgets, you must keep credentials secret, respect rate limits and scopes, and only request data needed for your integration. We may revoke keys or clients that create security or abuse risk.

Some features may be offered under paid plans. Fees, billing cycles, and taxes (if applicable) will be disclosed at the time of purchase. Unpaid balances may result in suspension of paid features.

OC is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free service.

To the fullest extent permitted by law, Odixtec and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of OC. Our aggregate liability for claims relating to the service is limited to the greater of (a) amounts you paid us for OC in the 12 months before the claim or (b) USD $50 if you use a free plan.

You may stop using OC at any time. We may suspend or terminate access if you breach these terms, create risk, or if we discontinue the service. Provisions that by nature should survive (including ownership, disclaimers, and liability limits) will survive termination.

We may update these terms. Material changes will be reflected by updating the "Last updated" date. Continued use after changes take effect constitutes acceptance.

These terms are governed by the laws applicable in Uganda, without regard to conflict-of-law rules, unless mandatory local consumer law requires otherwise. Courts in Uganda have exclusive jurisdiction, except where applicable law gives you the right to bring claims in your local courts.
